Vendor Management is responsible for managing the risks associated with conducting business with third-party vendors and defining a consistent program for First Republic’s vendor relationships. In the process, we fulfill the applicable legal, information security and regulatory requirements on behalf of the organization. We also work with business units to secure, risk assess and oversee all vendor services.


The Senior Associate Contracts is responsible for reviewing and negotiating contracts for both new and existing vendors on behalf of business units across the Bank. Negotiations will involve coordination across multiple internal stakeholder groups. The Senior Associate will review MSAs, Non-Disclosure Agreements, Amendments, SOWs, and Order Forms for a wide variety of products and services including technology and consulting  services.


What you’ll do as a Senior Associate Contracts:

  • Develop, structure, and negotiate legal and business terms and conditions
  • Coordinate and contribute to all stages of the contract lifecycle including contract review, negotiation, maintenance and termination
  • Manage contract terms within the Bank’s contract management platform
  • Establish and develop close working relationships across internal subject matter experts such as information security and compliance
  • Familiar with key terms and conditions that are common to various types of vendor agreements including but not limited to SaaS, licensing, hardware, and professional services agreements
  • Support the continuous improvement of standard form agreements and processes


You could be a great fit if you have:

  • JD and admitted to the Bar in any state within the U.S.
  • 4+ years of relevant experience
  • Experience negotiating against vendor counsel
  • Understanding of the requirements of working in a regulated environment and the controls that are necessary to be successful in the financial services industry
  • Familiarity with fundamental contract terminology and negotiations
  • High degree of proficiency with Word, Excel, and PowerPoint
  • Familiarity with Archer or other Enterprise Risk Systems, and/or any contract lifecycle management platforms
  • Demonstrates excellent communication and interpersonal skills
