We are seeking talented candidates for a position in the Legal Department as a Transactional Paralegal providing legal support to the commercial lending business and closing department. As the team is fast-moving and services all levels of the Bank, the ideal candidate will be highly organized and can navigate the organizational infrastructure to independently solve and resolve problems. Work is generally of a critical or confidential nature and requires a broad working knowledge of departmental and company practices and policies, as well as the ability to use critical thinking and solid judgment to make quick decisions.

What you’ll do as a Transactional Paralegal:

Under general supervision and acting on own initiative and direction, responsibilities include, but are not limited to:

• Providing legal support to the Bank’s attorneys and internal client groups in the commercial lending space and commercial closing department.
• Assisting lawyers and closing department with closing services.
• Reviewing and negotiation of Subordination and Non-Disturbance Agreements and Estoppels.
• Assisting with document preparation (preparing memos, presentations, emails, letters, and surveys), and editing, reviewing, and drafting agreements.
• Distributing draft documents to outside counsel and internal clients.
• Reviewing entity documents (e.g., corporate resolutions, bylaws, operating agreements, etc.)
• Researching and analyzing legal regulations using statutes, case law, legal articles, and regulatory sources.
• Reviewing and maintaining Nondisclosure Agreements.
• Helping process invoices from outside counsel and legal vendors.
• Responding to internal client questions.
• Leading and managing projects, as assigned by attorneys and senior paralegal. 

Responsibilities include the following: 1) adhering to and complying with all applicable, federal and state laws, regulations and guidance, including those related to Anti-Money Laundering (i.e. Bank Secrecy Act, USA PATRIOT Act, etc.), 2) adhering to Bank policies and procedures, 3) completing required training, 4) identifying and reporting potentially suspicious activity to the BSA/AML Officer, and 5) knowing and verifying the identity of any customer(s) that enters into a relationship with the Bank.

You could be a great fit if you have:

• Bachelor’s Degree.
• Paralegal Certificate (plus if you are or are willing to become a certified notary public).
• 3+ years of paralegal experience or relevant experience in a legal environment preferred.
• 2+ years of prior experience in real estate, financing, corporate, and/or other transactional legal work.
• Ability to work independently, proactively, innovatively, and creatively while exercising sound judgment.
• Ability to prioritize work effectively under tight deadlines and maintain communication with attorneys regarding project status.
• Strong interpersonal skills to interact effectively with peers, clients, attorneys, and other business and compliance professionals.
• Self-motivated and dependable.
• A relationship builder.
• Strong analytical skills with high attention to detail and accuracy.
• Excellent legal research skills and experience in Bloomberg Law and/or Westlaw.
• Highly proficient in Microsoft Office programs, specifically Word, Outlook, Excel, and PowerPoint.
• Work is generally of a critical or confidential nature; discretion with confidential information is necessary.
• Knowledge of federal and state legislative and regulatory processes preferred.
• General familiarity with trusts is a plus.
